THIS AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES AND LIABILITY; AND AN EXCLUSIVE REMEDY. THESE PROVISIONS FORM AN ESSENTIAL BASIS OF OUR BARGAIN.

2. HOW JCP CAN MODIFY THESE TERMS
JCP reserves the right, in its sole discretion, to modify, alter or otherwise update these Terms at any time. Such modifications shall be effective immediately upon posting. By using the JCP Web after we have posted notice of such modifications, alterations or updates you agree to be bound by such revised Terms.
In accordance with our goals, the JCP Web will permit you to link to many other web sites, that may or may not be affiliated with the JCP Web and/or JCP, and that may have terms of use that differ from, or contain terms in addition to, the terms specified here. Your access to such web sites through links provided on the JCP Web is governed by the terms of use and policies of those sites, not the JCP Web.

JCP will not be responsible for any losses arising out of the unauthorized use of your account and you agree to indemnify and hold harmless JCP its partners, parents, subsidiaries, agents, affiliates and/or licensors, as applicable, for any improper, unauthorized or illegal uses of your account.
4. TRADEMARKS, COPYRIGHTS AND RESTRICTIONS
All content on the JCP Web, including, but not limited to text, images, illustrations, audio clips, and video clips, is protected by copyrights, trademarks, service marks, and/or other intellectual property rights (which are governed by U.S. and worldwide copyright laws and treaty provisions, privacy and publicity laws, and communication regulations and statutes), and are owned and controlled by JCP or its affiliates, or by third party content providers, merchants, sponsors and licensors (collectively "Providers") that have licensed their content or the right to market their products and/or services to JCP. 7. PRIVACY POLICY

8. SUBMISSIONS OR OTHER INFORMATION

D. IF YOU ARE DISSATISFIED WITH THE JCP WEB, YOU DO NOT AGREE WITH ANY PART OF THIS AGREEMENT, OR YOU HAVE ANY OTHER DISPUTE OR CLAIM WITH OR AGAINST JCP OR THE PROVIDERS WITH RESPECT TO THIS AGREEMENT OR THE JCP WEB, THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE JCP WEB.
10. YOU HAVE LIMITED TIME TO BRING YOUR CLAIM
YOU AGREE THAT YOU MUST COMMENCE ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE JCP WEB WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless JCP and the Providers, its and their respective officers, directors, employees, affiliates, agents, licensors, and suppliers from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation by you of these Terms or applicable law.
12. THIRD PARTY RIGHTS
These Terms are for the benefit of JCP and its Providers, its and their officers, directors, employees, affiliates, agents, licensors, and suppliers. Each of these individuals or entities shall have the right to assert and enforce these Terms directly against you on its or their own behalf.
13. JURISDICTIONAL ISSUES
Unless otherwise specified, the Content contained in the JCP Web is presented solely for your convenience and/or information. The JCP Web is controlled and operated by JCP from its offices within King of Prussia, PA. JCP makes no representation that Content in the JCP Web is appropriate or available for use in other locations. Those who choose to access the JCP Web from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. You may not use or export the materials in the JCP Web in violation of the export laws and regulations of the United States of America.
All claims arising from or related to this Agreement and the JCP Web will be adjudicated under the laws of the Commonwealth of Pennsylvania, without reference to conflict of laws principles. You hereby irrevocably consent to the exclusive jurisdiction and venue of state or federal courts in Montgomery County, Pennsylvania, United States of America in all disputes arising out of or relating to these Terms and to your use of the JCP Web.
14. ASSIGNMENT / SEVERABILITY
If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms will continue in effect.
JCP may assign this Agreement, in whole or in part, at any time with or without notice to you. You may not assign this Agreement, or assign, transfer or sublicense your rights, if any, in the JCP Web. Except as expressly stated herein, this Agreement constitutes the entire integrated agreement between you and JCP with respect to the JCP Web and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and JCP with respect to the JCP Web. The section titles in these Terms are solely used for the convenience of the parties and have no legal or contractual significance. You acknowledge that you have read this agreement, understand it and will be bound by its terms and conditions.
15. MISCELLANEIOUS
JCP or its business partners may present advertisements or promotional materials on or through the JCP Web. Your dealings with, or participation in promotions of, any third-party advertisers on or through the site are solely between you and such third party and your participation is subject to the terms and conditions associated with that advertisement or promotion. You agree that JCP is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such third party materials on the site.
JCP may send notices to you with respect to your use of the site by sending an email message to the email address listed in your account information, by sending a letter via u.s. mail to the contact address listed in your account information, or by a posting a note on the site when you access your account.
